Transcript TO OUR SHAREHOLDERS ''JW&R^^w ^^6*k J. Willard Marriott, Chairman of the Board and J. W. Marriott Jr., President, Marriott-Hot Shoppes. in 1965 has been a record-breaking year for Marriott-Hot Shoppes. With a healthy national economy providing more disposable income to be spent on traveling and dining out, our company has attained record highs in both sales and profits. Sales have increased for the 23rd consecutive year and have been climbing at an annual rate of 15.4% for the past several years. In 1965 we achieved a new sales high of $98.8 million which is a 17% increase over 1964 figures. During this same period, our net income after taxes has increased 30%, giving us record earnings of $4,032,000. This amounts to 93^ per share on the common stock outstanding after the regular 4% stock dividend and the two-for-one stock split recorded on April 15, 1965. A comparable figure for 1964 would be 710 per share. This increase in profits has been realized through improved performance by all divisions of the company and is attributable to more active sales promotion and tighter cost control. It has resulted in Marriott-Hot Shoppes making a return of 18.5% on beginning-of-year stockholder's investment and achieving a cash flow from operations of $6,941,000—equal to $1.59 per share compared to $1.42 in 1964. Marriott-Hot Shoppes growth through the years has been financed through reinvestment of retain ed earnings and through lease financing. Since 1961, we have retained valuable repurchase rights on real estate which has been sold and leased back. The total discounted amount of future rents payable on these sale-leaseback contracts ($12, 056,000) is disclosed on the balance sheet this year—for the first time. The annual rent payable on all other leases with terms over three years is footnoted as before. This change in reporting is due to recent developments in the accounting profession. At the annual meeting of November 9, 1965, shareholders will be asked to vote on the acquisition of eight properties owned or controlled by officers and directors of Marriott-Hot Shoppes, Inc. These locations which contain operating units of the company are irreplaceable, and it is felt that the company should own and control them. Detailed information on this acquisition will be given in the proxy statement to be mailed on October 15th. In fiscal 1965, the company opened 13 new units and closed six older ones. Our first operation in the 15^ hamburger field was opened during the year, while our Food Services Management Division added four new operations, our Hot Shoppes Cafeteria Division added three new units, and our Hot Shoppes Restaurant Division re-opened
