Transcript Section 8. Board of Directors. The Board of Directors shall manage the affairs and control the funds and property of the chapter. It shall report its activities at the next membership meeting of the chapter. It shall formulate and present the budget, supervise the conduct of chapter activities and the implementation of chapter policies and directives. The Board shall meet monthly or upon call of the President or a majority of the members. Section 9. Executive Committee. The Executive Committee shall carry on the day-to-day business of the chapter between meetings of the Board and of the membership, and shall report its actions thereto. It shall meet upon call of the President or any three officers. Section 10. Membership Meetings. There shall be eight regular meetings of the membership each year, one of which shall be designated the annual meeting. The ultimate authority for chapter action shall reside in the membership. Section 11. Finances. (a) The fiscal year shall be January 1 to December 31. Chapter members will be billed for both chapter and national dues by the chapter Treasurer, who shall remit national dues to the National Treasurer within 30 days after receipt. Dues shall be the national dues, plus chapter dues, (b) Any member whose chapter and national dues are in arrears on March 31 shall, after notice, be dropped from the rolls and shall have no privileges of membership, but may be reinstated upon application, acceptance and payment of current dues. (c) All checks must be signed by two officers of the chapter. Section 12. Nominations, Voting, Election. A nominations/election committee shall b& elected at the September business meeting. It shall report its slate of nominations at the October business meeting. At the October business meeting, a majority of the members present and voting shall determine if the next succeeding election only shall be by secret (written) or open (show of hands) ballot. Election shall be held at the November business meeting. Additional nominations may be made from the floor. If the October business meeting shall have chosen to have a written ballot, the nominations/election committee shall have materials available for that purpose. To be eligible to vote, a member must have paid in full local and national dues to the chapter treasurer at least 14 calendar days prior to the election. Election shall be by the majority of members in good standing present and voting. If there are more than two candidates for an office and one candidate does not get a majority of the votes on the first ballot, the run-off shall be between the two candidates receiving the most votes on the first ballot. Section 13. Procedure Except as herein provided, all proceedings of this chapter shall be governed by Robert's Rules of Order, Revised. Section 14. Additional Provisions. The chapter may, at any membership meeting, adopt implementing bylaws not inconsistent with Sections 1 to 13 of these bylaws or with the bylaws of the National organization. Any question as to such inconsistency shall be determined by the National Board of Directors of the National Organization for Women. Section 15. Amendments. Sections 1 through 15 of these bylaws may be amended only by the National Board of NOW. The chapter's implementing bylaws may be amended by majority vote at any meeting of the chapter, provided that notice of such proposed amendments shall have been sent to each member at least ten days before the meeting.
