Transcript Section 1. Section 2. BYLAWS OF HOUSTON AREA CHAPTER NATIONAL ORGANIZATION FOR WOMEN, INC. Section 1. Name. The name of this chapter shall be the Houston Area Chapter of the National Organization for Women, Inc. (NOW). It shall exist and operate as a unit thereof. Section 2. Purpose. The purpose of the Houston Area Chapter shall be to take action to bring women into full participation in the mainstream of American society NOW, exercising all the privileges and responsibilities thereof in truly equal partnership with men. This purpose includes, but is not limited to, equal rights and responsibilities in all aspects of citizenship, public service, employment, education and family life, and it includes freedom from discrimination because of marital status or motherhood. Policy. This chapter shall be bound by the national bylaws and may not take action which is contrary thereto. Where there is no established national policy, a chapter may express itself on any subject which is directly related to the purpose of NOW. Section 4. Membership. Any person who subscribes to NOW's purposes shall be eligible to become a member of this chapter and upon payment of national and chapter dues shall be enrolled as a member of this chapter. No person shall be excluded from membership, segregated, or otherwise discriminated against within the organization because of race, color, sex, religion, national origin, age or economic status. Section 5. Structure. The structure of the chapter shall be as follows: a. The officers, who together shall constitute the Executive Committee; b. The Board of Directors, which shall consist of the officers and such standing committee chairpersons as are established by the implementing bylaws; c. Such other persons or occupants of positions as the chapter may specify in its implementing bylaws. Section 6. Officers. (a) There shall a President, a Vice President, a Secretary, a Treasurer, and such other officers as may be established by the implementing bylaws. (b) All officers shall be elected at the annual meeting and shall hold office for one year or until their successors take office. No officer shall be eligible for more than two consecutive terms in the same office. Officers shall take office upon adjournment of the meeting at which they are elected. (c) In case of vacancy in the office of President, the Vice Presi- dent shall become President automatically. Vacancies in other offices shall be filled by the Board of Directors. Section 7. Duties of Officers. (a) The President shall be the chief executive officer of the chapter; shall preside at all meetings of the chapter and of the Board of Directors; shall appoint chairpersons of all committees except the Nominating Committee, subject to approval of the Executive Committee; and shall be ex officio a member of all committees except the Nominating Committee. (b) The Vice President, in the absence or inability of the President, shall perform the duties of President and may be chairperson of any committee. (c) The Secretary shall keep a record of the proceedings of the meetings of the chapter and of the Board of Directors; shall keep records of membership; conduct chapter correspondence not specifically assigned to others; and send out notices of meetings. (d) The Treasurer shall receive all funds of the chapter and shall deposit them in such bank or banks as may be designated by the chapter; shall disburse these funds by check in accordance with the approved budget; shall make regular reports to the Board of Directors and the membership. Prior to each annual meeting the Treasurer's accounts shall be audited as provided by the Finance Committee. The Treasurer shall be ex officio a member of the Finance Committee. 8
